U-Pro Soccer Technologies Inc. is a company incorporated and registered in Canada with company number 1612184-5. Our business place is 136 Market Ave #800, Winnipeg, MB R3B 0P4.​​

 

   2. Acceptance of Terms
By accessing or using the U-Pro Soccer AI-powered home training solution, including our website, mobile application, and training mat (collectively, the "Services"), you agree to be bound by these Terms of Use ("Terms"). If you disagree with any part of the Terms, you may not access the Services.

   3. Changes to Terms
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice before any new terms take effect.

   4. The Website
We offer the Website primarily for information purposes, including, without limitation, information relating to:
•    Our AI-powered soccer training solution
•    Training tips and techniques
•    User testimonials and success stories
•    Company news and updates
 

Visitors to the Website may also sign up to receive newsletters from us. We will require only an email address for this purpose. Please refer to our Privacy Policy for more information on how we process your personal data. The list above is not exhaustive of the website's functions, and we may decide to offer additional Website functions or cease to provide any Website functions at any time.

   5. The App
The App will enable users to access our AI-powered soccer training solution, including:

• Personalized training programs

• Performance tracking and analysis

• Video recording and playback of training sessions

• Interactive challenges and competitions

 

When ready, the App will be available for download at the Apple Store and then from various third-party platforms (the "Platforms"), the current list of which will be available on the website at any given time.
The App will be free to download, with in-app purchases available for premium features. However, we reserve the right to make changes to the App—including in relation to the charging of any fees—at any time.
In addition to these Terms, your use of the App will be subject to any terms and conditions of the relevant Platform from which you download it ("Platform Terms"). We have no knowledge of or control over any Platform Terms, and you accept them at your own risk.

   6. Access to the Services
a) You must be at least 13 years old to create an account on the Services. If you are under 13, you may only use the Services with the involvement and consent of a parent or legal guardian.
b) Parents or legal guardians who create accounts for children under 13 are responsible for all activities conducted through the account.
 

   7. User Accounts
a) When you create an account with us, you must provide accurate, complete, and up-to-date information.
b) You are responsible for safeguarding the password you use to access the Services and for any activities or actions that occur under your password.
 

   8. Privacy and Personal Information
Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which complies with PIPEDA, CCPA, GDPR, and other applicable privacy laws.
 

   9. Intellectual Property
The Services and their original content, features, and functionality are and will remain the exclusive property of U-Pro Soccer and its licensors. The Services are protected by copyright, trademark, and other laws.
 

   10. User Content and Data Collection
You retain any copyright that you may have in the content you submit to the Services. By submitting content, you grant U-Pro Soccer a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute your content in any existing or future media.
 

During the alpha testing phase and initial release of our Services, we will collect and process full videos and images of players using our Services. This data collection is necessary for developing and refining our AI technology. By participating in our alpha testing or using our initial release, you consent to collecting and processing video and image data. You will be notified when we transition to local data processing. At this point, no full videos or images will be uploaded to our servers.
 

U-Pro Soccer may conduct live events, training sessions, or workshops as part of our services. By participating in these events, you agree that:

• U-Pro Soccer may photograph or record these events.

• U-Pro Soccer may use, reproduce, distribute, and publicly display photographs or recordings featuring you or your child for promotional and marketing purposes.

• For participants under 18, parental or guardian consent is required for such use. This will be obtained through a separate "Media Release and Consent Form" provided during your registration.

• You can withdraw consent for the use of specific images or videos at any time by contacting us.

• U-Pro Soccer will use these materials responsibly and in compliance with all applicable laws and regulations.

 

   11. Prohibited Uses
You agree not to use the Services: a) In any way that violates any applicable law or regulation, b) To impersonate or attempt to impersonate U-Pro Soccer, an employee, another user, or any other person or entity, c) To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Services
 

   12. Disclaimer of Warranties
The Services are provided on an "AS IS" and "AS AVAILABLE" basis, without any warranties, either express or implied. While we strive to provide a high-quality service, we cannot guarantee that our Services will always function without disruptions, delays, or imperfections.
 

   13. Limitation of Liability
In no event shall U-Pro Soccer, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Services.
 

   14. Indemnification
You agree to defend, indemnify, and hold harmless U-Pro Soccer and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses, resulting from or arising out of your use and access of the Services.
 

   15. Waiver and Release of Liability
You acknowledge that using the Services, including the training mat, involves inherent risks. You agree to use the Services at your own risk and hereby waive and release U-Pro Soccer from any and all liability for any injuries, accidents, or damages that may occur during your use of the Services, except where caused by our gross negligence or willful misconduct. This waiver does not affect any rights you may have under applicable consumer protection laws.
 

   16. Termination of Your Rights
We may terminate your rights under these Terms immediately and without notice if:

• You have breached any of the Terms

• We believe that your use of the Website or the App is unsuitable in any way

• You are otherwise in breach of these Terms

 

If we terminate your rights under these Terms:

• You must immediately stop all activities authorized by these Terms, including your access to the Website and your use of the App

• You must immediately delete or remove the App from all devices then in your possession, custody, or control and, if required, confirm to us that you have done so

   17. Governing Law and Jurisdiction

These Terms shall be governed and construed by the laws of Manitoba, Canada, without regard to its conflict of law provisions. This choice of law does not deprive you of the protection afforded under consumer protection laws in your jurisdiction.
 

   18. Dispute Resolution
We hope to resolve any dispute, controversy, or claim arising from or relating to these Terms through amicable negotiations. If you have any concerns or disputes about the Services, please contact us first at legal@uprosoccer.ca.

If a dispute is not resolved within 60 days after notification, either party may bring a formal proceeding. Any dispute, controversy, or claim arising out of or relating to these Terms shall be finally settled by arbitration in Winnipeg, Manitoba, using the English language by the Arbitration Act of Manitoba.
 

   19. Entire Agreement
These Terms and our Privacy Policy constitute the entire agreement between you and U-Pro Soccer regarding our Services and supersede and replace any prior agreements we might have regarding the Services.
