UPRO Soccer Terms of Service (Main Launch)

1. Who We Are

U-Pro Soccer Technologies Inc. (“UPRO Soccer“, “we”, “our”, “us”) is a company incorporated in Canada, corporation number 1612184-5, with its business place at 423 Main Street, 8th Floor, Winnipeg, MB R3B 1B3, Canada. 2. Definitions

  • Services“ — the UPRO Soccer app, website, training mat, and related training features.

  • Training Video“ — the live camera feed of a Player during a training session, processed transiently on the device and never stored or transmitted.

  • Landmark Data“ — the 33 MediaPipe pose landmarks (x/y/z coordinates) extracted on-device and uploaded to UPRO Soccer’s servers, linked to the Player’s profile.

  • AI Training“ — the optional, separately consented use of pseudonymized Landmark Data to improve UPRO Soccer’s AI models.

  • Parent“ — the parent or legal guardian who creates and controls the account.

  • Child“ / “Player“ — the young player whose profile the Parent creates and manages.

3. Acceptance of These Terms

These Terms are accepted by the Parent when the Parent expressly agrees during account creation. Nothing in these Terms creates consent to the collection or use of personal information — all privacy consents are collected separately through the consent flow described in our Privacy Policy, and merely using the Services does not constitute consent to anything.

4. Where the Services Are Offered

The Services are offered in Canada and the United States.

  • EU/UK not served. The Services are not offered to residents of the European Union or the United Kingdom, and access from those regions is geo-gated. We make no claim of GDPR or UK GDPR compliance.

  • Quebec. The Services are not currently offered in Quebec.

5. Accounts — Parent-First Model

a) The Services are intended for players aged 6 to 14. Accounts for minors are created and controlled by a Parent or guardian. Players do not create their own accounts. The Parent creates the account, completes a neutral age screen for each Player, and provides the consents required by our Privacy Policy (including verifiable parental consent for Children under 13, as required by COPPA) before any Player profile becomes active. An adult who uses the Services for themselves is the account holder and consents directly.

b) The Parent is responsible for the accuracy of account information, for safeguarding credentials, and for supervising the Player’s use of the Services.

c) The Parent may close the account, delete the Player’s information, or withdraw optional consents at any time, as described in the Privacy Policy.

6. The Services

The Services provide AI-assisted soccer training, including personalized drills, real-time feedback, performance tracking from Landmark Data, and progress views for the Parent and, where the Parent has separately opted in, the Player’s coach or club. The app is available from the Apple App Store and Google Play Store.

During the beta, the app is free. There is no subscription fee, and there are no in-app purchases.

Physical training mat. Separately from the app, a Parent may purchase the UPRO physical training mat on our website — it is not sold through the app. The mat is a physical product, and its purchase is governed by our Shipping Policy, Returns and Refunds Policy, and Warranty Policy, together with the sale terms shown at checkout, including price and taxes. Buying the mat is optional and is never required to use the beta.

7. Camera, Training Video, and Landmark Data

a) The Services use the device camera during training sessions. Training Video is processed in real time on the device only. It is not recorded, not stored, and not transmitted by the Services.

b) Only Landmark Data is uploaded to UPRO Soccer’s servers, as described in the Privacy Policy, after the Parent’s express consent in the consent flow. Landmark Data upload is integral to the Services — the Services cannot score or track training without it.

c) AI Training is optional and governed solely by the separate AI Training opt-in in the consent flow. Nothing in these Terms grants UPRO Soccer any right to use Landmark Data for AI Training.

8. User Content and Licence (Narrowed)

a) You (or your Child) retain all rights in any content you submit to the Services (such as profile information or support messages).

b) You grant UPRO Soccer a limited, non-exclusive, royalty-free licence to use submitted content solely as necessary to provide, maintain, secure, and support the Services. This licence ends when the content is deleted from the Services, except for minimal records we must keep by law.

c) For clarity, this licence does not cover: (i) Training Video (we never receive it); (ii) the use of Landmark Data for AI Training (governed solely by the optional AI Training consent); or (iii) marketing or promotional use of any image or recording of you or your Child (governed solely by the separate, optional Media Consent form).

9. Intellectual Property

The Services and their original content, features, and functionality are and remain the exclusive property of UPRO Soccer and its licensors. These Terms do not transfer any UPRO Soccer intellectual property to you.

10. Prohibited Uses

You agree not to use the Services: (a) in violation of any applicable law; (b) to impersonate UPRO Soccer, its staff, or any other person; (c) to attempt to access another user’s data; (d) to reverse engineer or interfere with the Services except where the law permits; or (e) in any way that restricts or inhibits another person’s use of the Services.

11. Physical Activity — Safety Acknowledgment (Not a Waiver of the Child’s Rights)

a) Soccer training is physical activity and carries inherent risks of injury. The Parent is responsible for ensuring the Player has a safe training space, appropriate supervision, and is medically fit to train.

b) Nothing in these Terms waives, releases, or limits any claim belonging to a Child/Player. We do not ask Parents to waive their Child’s legal rights, and any provision that could be read that way is unenforceable and severed.

c) To the extent permitted by law, the Parent’s own claims arising from ordinary risks inherent in physical training (not from UPRO Soccer’s negligence, gross negligence, or willful misconduct) are subject to the limitation in Section 13.

12. Disclaimer of Warranties

The Services are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, express or implied, to the extent permitted by applicable law. The Services provide training feedback, not medical, physiotherapy, or professional coaching advice.

13. Limitation of Liability

To the maximum extent permitted by applicable law, UPRO Soccer and its directors, employees, and agents are not liable for indirect, incidental, special, consequential, or punitive damages arising from use of the Services. Nothing in this section limits liability for gross negligence, willful misconduct, fraud, or any liability that cannot be limited by law, and nothing in this section limits any claim belonging to a Child/Player or any non-waivable consumer right.

14. Indemnification (Narrowed)

The Parent agrees to indemnify UPRO Soccer against third-party claims arising from the Parent’s own breach of these Terms or violation of law in using the Services. This indemnity does not apply to claims arising from UPRO Soccer’s own negligence, gross negligence, willful misconduct, or breach of these Terms or of applicable privacy law, and does not extend to claims belonging to the Child/Player.

15. Termination

a) The Parent may close the account at any time; data handling on closure follows the Privacy Policy’s retention schedule.

b) We may suspend or terminate access for a material breach of these Terms. Except where immediate action is needed to protect users or the Services, we will give notice and a reasonable opportunity to cure. On termination we will explain the reason and how to request your data or contest the decision.

16. Changes to These Terms

We may revise these Terms. For material changes we will give Parents at least 30 days’ direct notice (email to the registered Parent address) before the new terms take effect, and continued use after the effective date requires the Parent’s renewed express acceptance. Material changes affecting the collection, use, or disclosure of personal information additionally require fresh consent through the consent flow before they apply (see Privacy Policy, Section 16). Changes are never effective merely by being posted.

17. Governing Law

These Terms are governed by the laws of Manitoba, Canada, without regard to conflict-of-law rules. This choice of law does not deprive you of any mandatory consumer-protection rights under the laws of your place of residence — including, for US residents, rights under applicable US federal and state consumer-protection and children’s-privacy laws (such as COPPA), which apply regardless of this clause.

18. Dispute Resolution

We hope to resolve any dispute through good-faith negotiation first, so please contact us at legal@uprosoccer.ca before starting a formal proceeding. If a dispute is not resolved within 60 days, either party may bring it before the courts of Manitoba, Canada, which have jurisdiction over these Terms, and you and UPRO Soccer submit to those courts.

Small-claims carve-out. Either party may instead bring an eligible claim in a small-claims court, whether in Manitoba or in your own local small-claims court where the law allows, so that low-value disputes stay simple and inexpensive.

No mandatory arbitration, no class-action waiver, and your statutory rights are preserved. We do not require you to arbitrate, and nothing in these Terms waives your right to take part in a class or collective proceeding or gives up any consumer-protection right you have where you live. For US residents, that includes rights under COPPA and applicable US federal and state consumer-protection and children’s-privacy laws, which apply regardless of this clause.

19. Entire Agreement

These Terms, the Privacy Policy, and any consents recorded through the consent flow are the entire agreement between the Parent and UPRO Soccer regarding the Services. The optional Media Consent is a separate document and is never a condition of using the Services.
